Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cold Call Cockpit (the "Service"), operated by SidePrompt AI ("we", "us"). By creating an account or using the Service you agree to these Terms on your own behalf and, where applicable, on behalf of the organization you represent.

1. The Service

Cold Call Cockpit is a live call intelligence platform for Pipedrive. It connects to your CRM and your phone system to present prospecting queues, initiate calls, enrich prospect records, automate post-call administration, and report on calling activity. The Service is not a telephone service: calls are carried by your own phone-system provider under your agreement with them.

2. Accounts and workspaces

• You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account.
• Workspace administrators control membership and roles within their workspace and are responsible for authorizing the members they invite.
• You must be at least 18 years old and using the Service for business purposes.

3. Your connected services

The Service operates on third-party accounts you connect — currently Pipedrive and CloudTalk. You represent that you are authorized to connect them, and you grant us permission to access them on your instruction for the purpose of providing the Service. Your use of those services remains governed by their own terms. Disconnecting them at any time revokes our access.

4. Subscriptions, trials, and billing

• The Service is sold per seat, on monthly or annual subscription plans, billed through Stripe.
• New workspaces receive a 14-day free trial. During early access, workspace activation may be subject to approval.
• Subscriptions renew automatically until cancelled. Cancelling stops the subscription at the end of the current billing period; paid periods are non-refundable except where required by law.
• Seat counts can be adjusted at any time and billing adjusts accordingly.
• Prices may change with at least 30 days' notice; changes take effect at your next renewal.

5. Your data

Your CRM data belongs to you. The Service reads from and writes to your Pipedrive account on your instruction; Pipedrive remains your system of record. Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.

6. Acceptable use

You agree not to:

• use the Service in violation of applicable law — including telemarketing, do-not-call, and telephone-consumer-protection laws in the jurisdictions you call into, compliance with which is your responsibility;
• use the Service to send spam or make unlawful, deceptive, or harassing calls or communications;
• interfere with, probe, or disrupt the Service, or access it by automated means other than its intended interfaces;
• resell, sublicense, or provide the Service to third parties outside your workspace;
• reverse engineer the Service except where such a restriction is prohibited by law.

7. Intellectual property

We own the Service, including its software, design, and branding. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. Feedback you choose to give us may be used to improve the Service without obligation to you.

8. Third-party services

The Service depends on third-party platforms (including Pipedrive, CloudTalk, and our hosting and payment providers). We are not responsible for their availability or acts. If a third-party platform changes in a way that affects the Service, we will use reasonable efforts to adapt.

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Enriched and researched data is assembled from third-party sources and may be incomplete or out of date; verify before relying on it.

10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our total liability under these Terms is limited to the amounts you paid for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for material breach of these Terms, or with notice if we discontinue the Service. On termination we will, on request within 30 days, reasonably assist in confirming that connected-service access has been revoked; your CRM data remains in your Pipedrive account throughout.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in the product at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which SidePrompt AI is established, without regard to conflict-of-laws rules, and disputes are subject to the exclusive jurisdiction of its courts.
